The Minnesota Department of Revenue (DOR) estimates that $500 million worth of state tax revenue was lost when the U.S. Bankruptcy Court for the District of Delaware approved the sale of the St. Paul-based CSLA Inc., formerly Comdata Specialties LLC, to New York-based American Commercial Bancorp, Inc., in October 2016.

Minnesota taxpayers had loaned CSLA millions of dollars to fund its business, only to have their investment evaporate per court order.

CSLA sold products at times to Minnesota businesses but didn’t pay sales taxes owed to the state. Because federal law requires dealers of taxable items to collect sales tax due from customers, Minnesota statutes require anyone involved in selling tangible personal property to charge and collect the tax if and when they become aware that the customer does not owe any taxes.

If Minnesota authorities prove CSLA knew about the tax liabilities, then Minnesota’s tax claim could stand even after the company filed for Chapter 11 bankruptcy protection.

Although the DOR announced its claim before CSLA filed for bankruptcy, the agency wasn’t able to pursue CSLA legally until after the court ruling. If the case goes forward, it would likely take years to resolve.

In addition to the tax debt, the DOR says CSLA owes back payroll taxes and unemployment insurance contributions for many of its employees.

The total amount of unpaid claims from the state alone exceeds half a billion dollars.
